Eliana Cotton is an Attorney in the Firm’s Corporate Practice. She assists entrepreneurs, startups, investors, and closely held businesses with a broad range of corporate and transactional matters, including business formation and governance, contract drafting and negotiation, regulatory compliance, corporate due diligence, and strategic business planning.
Ms. Cotton supports clients through various stages of the business lifecycle, helping them navigate complex legal and operational challenges. Her experience includes corporate transactions, securities-related matters, business structuring, and regulatory analysis.
Before joining the Firm, Ms. Cotton gained practical experience working with a real estate attorney and broker, where she conducted zoning research, prepared municipal submissions, and drafted lease agreements. This experience provided her with a strong foundation in transactional practice, regulatory compliance, and business operations.
Ms. Cotton earned her J.D., cum laude, from the University of Miami School of Law, where she was a Dean’s Merit Scholarship recipient. She earned her B.A. in Political Science from the University of Central Florida. While in law school, she developed a strong interest in corporate transactions, securities regulation, and the legal issues affecting emerging and growth-oriented businesses.
